About George

George S. Georgiev served as an Associate Professor of Law in the Law faculty at Emory University School of Law for nine years, where he earned the Provost’s Distinguished Teaching Award for Excellence in Graduate and Professional Education. His academic background includes a J.D. from Yale Law School and prior service as a visiting assistant professor at the University of California, Los Angeles School of Law. Before academia, he practiced corporate law for nearly six years at Sullivan & Cromwell LLP and Clifford Chance LLP, focusing on capital markets, private equity, and mergers and acquisitions matters. He is currently a Professor of Law at the University of Miami School of Law.

Georgiev teaches and writes about business law, with research centered on the intersection of corporate governance and securities regulation, including the SEC regulatory regime, the rise of private capital, and systems for sustainability accounting and disclosure. His scholarship has appeared in leading journals, with key publications such as “Too Big to Disclose: Firm Size and Materiality Blindspots in Securities Regulation” (64 UCLA L. Rev. 602, 2017), “The Breakdown of the Public–Private Divide in Securities Law: Causes, Consequences, and Reforms” (18 NYU J.L. & Bus. 221, 2021), “Is ‘Public Company’ Still a Viable Regulatory Category?” (13 Harv. Bus. L. Rev. 1, 2023), “The Market-Essential Role of Corporate Climate Disclosure” (56 U.C. Davis L. Rev. 2105, 2023), and “Securities Disclosure as Soundbite: The Case of CEO Pay Ratios” (with Steven A. Bank). Georgiev received a Ford Foundation research grant for his work on human capital management in U.S. corporate law. He has testified before the U.S. House Committee on Financial Services and the U.S. Senate Climate Change Taskforce, was appointed in 2024 to the SEC Investor Advisory Committee for a four-year term, and his research has been cited by the Delaware Court of Chancery, SEC Commissioners, and in regulatory proceedings. His insights have appeared in The New York Times, Financial Times, Bloomberg, Reuters, NPR, CNN, and the BBC.
