Job Description Summary

Provide legal support for the university and health systems as it relates to innovative and other activities including, the development of new services and innovative technology, arrangements with commercial entities, reviewing and drafting agreements as well as other transactional activities. Advise on a wide range of legal issues impacting development activities, regulatory issues and administrative policies. The attorney also will be responsible for negotiation and documentation of such transactions, due diligence activities, and preparation of governing body resolutions. Provide general legal advice to senior management, staff and employees as it relates to areas of business development to reduce exposure to legal risks and to promote compliance with legal requirements.

Job Responsibilities

  • Responsible for negotiation and documentation of such transactions, due diligence activities, and preparation of governing body resolutions. Provide general legal advice to senior management, staff and employees as it relates to areas of business development to reduce exposure to legal risks and to promote compliance with legal requirements.
  • The Office of the General Counsel of the University of Pennsylvania and the University of Pennsylvania Health System seeks a health care transactional attorney. This role is part of the Office of General Counsel (OGC). OGC represents Penn Medicine as a corporate entity in legal matters. The Office supports the mission of the University and Penn Medicine by handling all legal matters generated by the activities of the institution, including the schools, centers, departments, operating units and subsidiaries that comprise the University and its Health System, including Lancaster General Health. https://ogc.upenn.edu/
  • This is a unique opportunity for a self-starter to partner with our clinical and research enterprises to further the Penn Medicine mission. The position enjoys significant autonomy to design and negotiate creative business models that facilitate the continued growth of Penn Medicine at an extremely exciting and dynamic time in its history. The candidate would collaborate closely with our administrative and operational leaders, to find practical solutions that support our continued innovation and excellence. This position is part of a close knit office that promotes work/life balance and hybrid flexibility.
  • Provide legal support for the University of Pennsylvania Health System (UPHS) and its components/departments as they relate to UPHS transactional matters, contracts, and corporate services. In particular, this attorney will handle transactions and other complex agreements, including physician practice purchases, joint ventures and other corporate affiliations, as well as the drafting and negotiation of contracts in the innovation and information systems areas. Provide on-call attorney advice periodically to Penn Medicine clients.

Qualifications

  • Education: Graduation from a recognized college or university; graduation from an accredited law school with a J.D. degree. Professional Experience: Minimum of four (4) to ten (10) years of transactional legal experience, health care, innovation or information systems experience preferred.
  • Bar Qualifications: Must be admitted and in good standing in Pennsylvania or other state bar; admission to Pennsylvania bar and New Jersey required within one (1) year of appointment.
  • Other Requirements: This position requires a demonstrated capability for legal research, analysis and reasoning, drafting, and impeccable oral and written communication skills. Candidate must possess an ability to identify and resolve complicated and sensitive problems creatively and with professional discretion and an ability to interact and function effectively in a clinical, academic and research environment. Real Estate experience is a plus.
